1. Acceptance of terms

These Terms of Use ("Terms") govern your access to and use of the AccuVis website and clinical analysis console (together, the "Services"), operated by AccuVis AI ("AccuVis", "we", "us"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the Services.

2. Definitions

"Customer" means an organization that has been granted access to the console. "Authorized User" means an individual permitted by a Customer or by AccuVis to use the console. "Customer Data" means data, including patient and image data, submitted to the console by or on behalf of a Customer.

3. Eligibility and accounts

Console access is invite-only and provisioned by an administrator. You must provide accurate information, keep your credentials confidential, and not share accounts. You are responsible for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or revoke access to protect the Services or comply with law.

4. License and permitted use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for their intended clinical decision-support and evaluation purposes. You may not: (a) reverse-engineer, decompile, or attempt to extract source code or models; (b) resell, sublicense, or provide the Services to third parties except as permitted; (c) circumvent security or access controls; (d) interfere with or disrupt the Services; or (e) use the Services unlawfully or to build a competing product.

5. Customer Data and responsibilities

As between the parties, the Customer owns its Customer Data. You represent and warrant that you have all necessary rights, consents, and lawful bases to upload and process the Customer Data, including any patient or health information, and that doing so complies with applicable laws and professional obligations. You are responsible for the accuracy of data entered and for obtaining patient authorization where required. You grant AccuVis the rights necessary to host and process Customer Data solely to provide the Services.

6. Medical disclaimer

The Services provide decision-support outputs intended to assist, not replace, qualified clinical judgment. They are not a substitute for professional diagnosis or treatment. See our Disclaimer, which forms part of these Terms. You are solely responsible for clinical decisions made in connection with the Services.

7. Intellectual property

The Services, including all software, models, designs, text, and branding, are owned by AccuVis or its licensors and are protected by intellectual-property laws. Except for the limited rights expressly granted, no rights are transferred to you. Feedback you provide may be used by us without restriction or obligation.

8. Service availability and changes

We aim to keep the Services available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time. We may perform maintenance that temporarily limits access.

9. Disclaimer of warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by law.

10. Limitation of liability

To the fullest extent permitted by law, AccuVis and its affiliates, officers, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from or relating to the Services. Our aggregate liability for any claim shall not exceed the amounts paid by the Customer for the Services in the twelve months preceding the claim, or, where no fees were paid, a nominal sum. Nothing in these Terms excludes liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold AccuVis harmless from claims, damages, and expenses arising from your Customer Data, your use of the Services in breach of these Terms, or your violation of applicable law or third-party rights.

12. Term and termination

These Terms apply while you use the Services. We may suspend or terminate access for breach or to protect the Services. Upon termination, your right to use the Services ceases; provisions that by their nature should survive (including intellectual property, disclaimers, liability limits, and indemnities) will survive.

13. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-laws rules, and the courts of Bengaluru, Karnataka shall have exclusive jurisdiction, unless a separate written agreement with a Customer states otherwise.

14. Changes to these terms

We may update these Terms from time to time. Continued use after changes take effect constitutes acceptance of the revised Terms. The "Last updated" date above reflects the latest version.
